Please read these Terms of Use (“Terms”) carefully before using RateMyContract (the “Service”), operated by Codeatic (“we,” “us,” “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Not a Law Firm — No Legal Advice

RateMyContract is not a law firm, does not employ or provide access to licensed attorneys through the Service, and does not provide legal advice. The Service provides general, AI-generated information about contract language for educational and informational purposes only.

• No attorney-client relationship is created by your use of the Service.
• Results are generated by artificial intelligence and may contain errors, omissions, or inaccuracies.
• The Service does not evaluate the legality of any clause under the laws of any specific country, state, or jurisdiction.
• You should always consult a qualified, licensed attorney in your jurisdiction before signing, rejecting, or acting on any contract.

Nothing in your report should be treated as a substitute for professional legal counsel.

2. Eligibility

You must be at least 18 years old to use RateMyContract. By using the Service, you represent that you meet this requirement.

3. Description of the Service

RateMyContract allows users to upload or paste a contract document and receive an AI-generated report that may include:

• A plain-English summary of the contract
• Clauses identified as potentially risky, categorized by severity (high, medium, low)
• Clauses considered standard or fair
• Commonly expected clauses that appear to be missing
• General, non-legal suggestions such as “consider asking about this before signing”

The Service does not provide letter grades, jurisdiction-specific legality determinations, or clause negotiation scripts.

4. Your Account

• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must provide accurate information when creating an account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree not to:

• Upload documents that are not legitimate contracts for the purpose of abusing or testing the Service
• Attempt to bypass rate limits, validation checks, or security measures
• Use the Service to generate legal advice for resale or professional legal services
• Upload content that is unlawful, infringing, or that you do not have the right to submit
• Attempt to reverse-engineer, scrape, or interfere with the Service's underlying technology
• Use automated means (bots, scripts) to access the Service beyond normal use

We reserve the right to limit, suspend, or terminate access for users who violate these Terms.

6. Usage Limits

To manage costs and prevent abuse, the Service applies rate limits to the number of analyses you may run within a given period. Current limits are displayed within the Service and may be adjusted at our discretion without prior notice.

7. Document Handling

As described in our Privacy Policy, documents and text you submit for analysis are processed in memory only and are not stored after your report is generated. Personal information within your document is automatically redacted before being sent to our AI provider, using automated detection methods that catch the majority — but not necessarily all — categories of personal information. Please review our Privacy Policy for full detail, including its limitations.

By uploading a document, you confirm that you have the right to submit it for analysis, whether it is your own contract or one you are authorized to review (for example, as a party to the agreement).

8. Intellectual Property

The Service, including its design, branding, software, and underlying technology, is owned by Codeatic and protected by applicable intellectual property laws. You retain all rights to the contract documents you upload. We do not claim ownership over your content and do not use your contract content to train AI models.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The AI-generated analysis will be complete, accurate, or error-free
• The Service will identify every risk present in a contract
• The Service will be uninterrupted or available at all times
• Personal information redaction will catch every instance of personal data in every document (see Privacy Policy, Section 3)

You acknowledge that any decision you make based on a report generated by RateMyContract is made at your own discretion and risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODEATIC AND RATEMYCONTRACT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claim arising from your use of the Service shall not exceed the amount you paid to use the Service in the twelve (12) months preceding the claim (which, for free-tier users, is zero).

Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Codeatic, its affiliates, and personnel from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to the Service or other users.

13. Changes to the Service and Terms

We may modify or discontinue the Service, in whole or in part, at any time. We may also update these Terms from time to time; continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable to Codeatic's principal place of operation, without regard to conflict of law principles, unless otherwise required by mandatory local law applicable to you.
